It prescribes rules and regulations for the conduct of company business for the protection of shareholders and creditors. It has detailed provisions for claims against companies. It controls the process for liquidation of companies either voluntarily or by Court order. It has provisions concerning directors' responsibilities and obligations including wrongful behaviour by directors.
